1Acceptance of Terms

By using the Bitwell Band website, apps, or device, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree to these Terms, you must discontinue using our services.

2Eligibility

To use Bitwell Tech services, you must:

• Be at least 18 years old or have the consent of a parent or guardian if under 18.
• Provide accurate and up-to-date personal information.
• Agree to use our services solely for personal health monitoring and emergency alert purposes.

3User Responsibilities

• You are responsible for the accuracy of the personal and health information you provide.
• You agree to keep your account details, including login credentials, secure and confidential.
• You are responsible for any activity conducted through your account, and Bitwell Tech will not be held liable for unauthorized access or use.

4License and Restrictions

Bitwell Tech grants you a limited, non-exclusive, non-transferable license to use our services for personal, non-commercial purposes.

Prohibited Activities

• You may not modify, reverse-engineer, or attempt to gain unauthorized access to any part of our services or software.
• You may not misuse our services for unlawful activities or distribute malicious software.
• You may not use Bitwell Tech's services for any form of advertising or commercial purposes.

5Intellectual Property

All content on our website, including text, graphics, logos, software, and trademarks, is the property of Bitwell Tech or its licensors. You may not copy, modify, or distribute any content without prior written permission.

6Purchase and Payment Terms

Purchase Terms

• The BitwellBand hardware costs ₹5,999 (one-time payment) plus applicable shipping charges.
• Shipping charges will be communicated before finalizing your order.
• All prices are in Indian Rupees (INR) and include applicable taxes unless otherwise stated.

Payment Processing

• All payments are processed securely through Razorpay, our authorized payment gateway partner.
• We do not store your credit card, debit card, or banking information.
• You are responsible for ensuring that your payment information is accurate and up-to-date.
• Payment confirmation will be sent to your registered email address.

Non-Transferability

• Purchases are non-transferable to another person.
• However, you may provide a different delivery address and recipient name at the time of shipping.

7Limitation of Liability

Bitwell Tech and its affiliates, partners, and employees shall not be held liable for:

• Any direct, indirect, incidental, or consequential damages arising from your use or inability to use the product.
• Any harm, injury, or health issues resulting from reliance on the data or alerts provided by the Bitwell Tech services and Apps.
• Any loss or unauthorized access to personal data due to security breaches beyond our control.

8Warranties and Disclaimers

Bitwell Tech provides its services on an "as-is" and "as-available" basis, without any warranties of any kind, either express or implied. We do not guarantee the accuracy, reliability, or availability of the data, services, or alerts provided by Bitwell Tech.

We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9Third-Party Services

Our services may link to or integrate with third-party platforms or services. We are not responsible for the practices or content of these third parties, and your use of such services is subject to their respective terms.

10Termination of Service

We reserve the right to suspend, restrict, or terminate your access to our services at any time for any reason, including but not limited to violation of these Terms or engaging in prohibited activities.

11Indemnification

You agree to indemnify, defend, and hold harmless Bitwell Tech and its affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12Modifications to Terms

We reserve the right to update or modify these Terms at any time. If we make significant changes, we will notify users by posting the updated Terms on our website. Continued use of the services after changes are made constitutes your acceptance of the new Terms.

13Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, and any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Bhopal, Madhya Pradesh.

14Force Majeure

Bitwell Tech is not liable for any failure or delay in providing services due to causes beyond our reasonable control, including but not limited to natural disasters, power failures, internet outages, or governmental actions.

15Community Participation

By participating in the Community section, you agree to abide by the Community Rules. Content shared, such as questions or comments, may be moderated to ensure quality and relevance. Bitwell Band reserves the right to anonymize and share content with verified professionals for providing accurate and reliable responses while maintaining user privacy.

16Bitwell Guardian — Facility Terms

This section applies to facilities, care homes, and elder-care providers ("Facilities") that use the Bitwell Guardian platform, and to their authorised staff. It applies in addition to the Terms above.

Eligibility & Consent

• Guardian accounts are for professional, care-related use only. The Facility is responsible for the actions of every staff member it grants access to.
• A Facility may only monitor a person who has explicitly accepted that Facility's invitation from within the Bitwell App. The Facility must not attempt to access or infer the data of any person who has not consented.
• The Facility is responsible for obtaining and maintaining all consents required by law before monitoring any Resident, and for using Resident data only for legitimate care purposes.

Staff Accounts & Access Control

• Facilities are responsible for managing their staff accounts, roles, and permissions, and for promptly removing access for staff who leave.
• Each staff member must keep their credentials confidential and is accountable for activity under their account.

Billing & Payment

• Guardian is offered on a usage-based subscription. Charges are calculated on the number of connected Residents actively monitored, per the pricing agreed with your Facility.
• Invoices are generated periodically and payable through Razorpay. Applicable taxes are added as required by law.
• We may suspend or restrict platform access, webhooks, or API keys for accounts with overdue payments, after reasonable notice.

API & Webhook Integrations

• Facilities may integrate their own approved systems using read-only API keys and webhooks to receive their consenting Residents' data. Access to raw sensor data is additionally restricted and provided only under a confidentiality (non-disclosure) agreement.
• You must keep API keys secret, use the data only for legitimate care purposes, and not resell, redistribute, or re-identify the data beyond what these Terms and your agreement permit.

AI Call Agent (Automated Voice Check-ins)

• The AI Call Agent telephones Residents on the Facility's behalf. It is switched off by default and enabled per Facility by Bitwell.
• The Facility is responsible for obtaining each Resident's agreement, or that of their family, before enabling calls to them, and confirms this within the product when setting up a call. That confirmation is recorded against the Resident with the date and the name of the staff member who gave it.
• The Facility is responsible for whom it calls, when, and what it instructs the assistant to ask. Calls outside hours a Resident has agreed to, or to a Resident who has asked not to be called, are the Facility's responsibility.
• The assistant is not a clinical service. It does not diagnose, interpret readings, or advise on medication, and it does not replace contact with staff or a doctor. Concerns it raises are prompts for a person to act on, not assessments.
• Speech recognition and synthesis are imperfect. A transcript may misrepresent what a Resident said, and Facilities must not treat one as a verified record of care. What a Resident says on a call is their own account, not an administration record.

Not a Medical Device or Emergency Service

Guardian, its alerts (including fall and vitals alerts), the AI Call Agent, and its data are aids for care staff and are not a medical device, a diagnosis, or a substitute for professional clinical judgement or emergency services. Alerts may be delayed, missed, or inaccurate. Facilities must maintain their own independent care and emergency-response procedures and must not rely solely on Guardian.
